Fundamenta: Capital increase for acquisitions

The capital increase will be carried out in compliance with the subscription rights of existing shareholders, the company writes in a statement. The subscription ratio is 3:1, i.e. three existing shares entitle the holder to subscribe to one new share at a subscription price of CHF 14.50 per new share. There will be no trading in subscription rights.

New shares not subscribed for in the rights offering will primarily be allotted to various Swiss firm underwriters as part of a partial firm underwriting. For this purpose, the Company has entered into corresponding agreements in the total amount of up to 48.5 million. Following the rights offering and the allotment under the firm underwriting, the Company may conduct a free placement.

The real estate company intends to use the net proceeds for the acquisition of further real estate assets and for investments in the development of existing properties. In advance of the planned capital increase, Fundamenta has already acquired further portfolio properties for its portfolio: Through the Acquisitions in Allschwil, Therwil and Lucerne in the first half of 2017 and the acquisition in Basel made after the last balance sheet date, the portfolio was expanded with a volume of around 69.6 million (acquisition valuation). Among other things, the net proceeds from the capital increase are to be used to secure the sustainable financing of the Company within the framework of the targeted equity ratio. In addition, it is planned that a further portion of the net proceeds will be used for the projects in Zurich and Schlieren.

Fundamenta Real Estate AG will inform about the result of the capital increase on November 6, 2017. The share capital of the company after the capital increase will amount to a maximum of 113.5 million. The issue is accompanied by Zürcher Kantonalbank as lead manager and Fundamenta Group (Schweiz) AG as selling agent.
