Warteck Invest seeks fresh capital

Warteck Invest has now published details of the previously announced capital increase. The real estate company expects proceeds of up to CHF 76.7 million.

According to a press release, Warteck Invest intends to issue up to 49,500 new registered shares with a nominal value of CHF 10 at an issue price of CHF 1,550. The gross proceeds from the capital increase would thus amount to around CHF 76.7 million.
lie. After completion of the capital increase, up to 247,500 fully paid-up registered shares will be issued.

The subscription price per new registered share corresponds to a discount of 18.8% to the closing price of the Warteck Invest registered share on May 28, 2019, and corresponds to a net asset value of the Warteck Invest share (after deferred taxes) of CHF 1,524 as at December 31, 2018, the real estate company announced.

Shareholders are allocated one subscription right for each registered share. The exercise of four subscription rights entitles the holder to subscribe to one new registered share. The subscription period runs from June 3 to 12; subscription rights will be traded on the SIX Swiss Exchange from June 3 to 7. The first trading day and delivery of the new registered shares are scheduled for June 14.

According to Warteck Invest, the Dr. Christoph M. Müller family shareholder group has already undertaken to exercise its subscription rights. It is also considering further increasing its current shareholding of 31.79% in the course of the capital increase. However, the shareholding threshold of 33.3% should not be exceeded. (ah)
