Novavest Real Estate: Changes in the Board of Directors
There will be changes in the Board of Directors at Novavest Real Estate. Among others, Peter Mettler will not stand for re-election.
Novavest Real Estate AG has postponed its Annual General Meeting for 2020, originally scheduled for March 25, 2020, to May 25, 2020, due to the Corona pandemic. It is to be held without shareholders being present in person.
The Annual General Meeting is also expected to decide on personnel changes in the Board of Directors: Gian Reto Lazzarini is standing for re-election as a member of the Board of Directors and as Chairman of the Board. In order to strengthen his independence on the board, he will resign from the board of the unlisted Mettler2Invest in the course of May 2020, Novavest announces.
Peter Mettler, member of the Board of Directors and CEO of the company, will step down from the Board of Directors as of the date of the 2020 Annual General Meeting, but will continue to serve as CEO of the company. He is no longer available for re-election in order to further strengthen the independence of the Board of Directors, Novavest said.
Gian Reto Lazzarini, Dr. Markus Neff and Stefan Hiestand - three independent and non-executive members - will be proposed for election to the Board of Directors. There are also plans to expand the board by an additional experienced and independent person, who will be proposed for election at the 2021 Annual General Meeting at the latest.
Other items on the agenda of the 2020 Annual General Meeting include a proposal to reduce capital by repaying par value and distributing CHF 1.65 per registered share to shareholders, as well as a proposal to create authorized capital in the amount of up to a maximum of 635,000 registered shares to be fully paid up.
